Andrew M. Paxton concentrates his practice in business law, real estate and taxation with a particular focus on intellectual property, technology and emerging business matters. Andrew thrives in working with start-ups and real estate settlements/transactions because he most enjoys sitting down at the table and just “getting things done,” in his own words. He enjoys the energy and passion that drive entrepreneurs to innovation. In short, he is an idea man.
Andrew counsels clients on some of their most important investments, such as real property. But he also feels it is important to make them aware of more intangible assets that they may overlook – their ideas, creative products and intellectual property. He helps business owners to understand not only the value of these assets, but how to protect and preserve them. His experience in trademark and copyright prosecution includes clearing, registering and maintaining trademarks and copyrights through the U.S. Patent and Trademark Office. And he works closely with other attorneys at CGA in our business and litigation departments to defend his clients intellectual property rights.
While attending York College, Andrew served all four years in student government and was elected president of his Senior Class. Andrew earned departmental honors in Political Science and was awarded the William Kain Good Citizenship award for his service to the College and community. Andrew currently serves as President of the York College Alumni Board of Directors. Andrew's previous legal experience includes work at the Pennsylvania Securities Commission in their Enforcement and Compliance Division in Harrisburg, PA and an internship with the Pennsylvania Public Utilities Commission.
REPRESENTATIVE MATTERS
- Counseled clients on formation and operation of limited liability companies (LLCs) with multiple membership classes in order to provide start-up and investment capital.
- Completed numerous multi-state, multi-million dollar tax deferred 1031 Like Kind Exchanges for real estate.
- Represented buyers and sellers in stock and asset purchases and sales ranging from $100K to $60 million.
- Successfully negotiated numerous software and intellectual property licensing agreements.
- Successfully prosecuted numerous trademark and service mark registrations with the PA Department of State and the Federal Patent and Trademark Office, including initiating and defending oppositions to file and petitions to cancel.
